TradeParley — Terms of Service

1. Agreement to Terms

By accessing or using TradeParley ("the Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Platform Description

TradeParley is an educational and community platform that allows users to create and join groups focused on trading and investment discussion. The Platform provides tools for group owners to share educational content, post trade ideas, host live voice discussions, and facilitate community interaction.

TradeParley is not:

• A broker, dealer, or financial institution
• A registered investment advisor or financial planner
• A securities exchange or trading platform
• A provider of personalized financial advice or recommendations
• A fiduciary acting on behalf of any user

The Platform does not execute, facilitate, or process any securities transactions. There is no connection between the Platform and any brokerage account, trading platform, or financial institution. No trade can be placed, executed, or automated through TradeParley.

3. No Financial Advice — Critical Disclaimer

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

3.1. All content on the Platform — including but not limited to trade ideas, market analysis, charts, commentary, educational materials, posts, chat messages, voice discussions, and any other form of communication — is provided strictly for educational and informational purposes only. Nothing on this Platform constitutes financial advice, investment advice, trading advice, or any other form of professional advice.

3.2. Trade ideas shared on the Platform are exactly that: ideas. They represent the personal opinions of the individual users who post them. They are not recommendations, solicitations, or offers to buy or sell any security, commodity, cryptocurrency, or other financial instrument.

3.3. Group owners and content creators on the Platform are not registered brokers, licensed financial advisors, certified financial planners, or regulated professionals unless they have independently disclosed such credentials. The Platform does not verify, endorse, or guarantee the qualifications, expertise, track record, or reliability of any group owner or content creator.

3.4. Past performance of any trade idea, group, or content creator is not indicative of future results. Trading and investing involve substantial risk of loss. You may lose some or all of your invested capital.

3.5. You acknowledge and agree that:

• You are solely responsible for your own investment and trading decisions. No content on this Platform should be interpreted as a directive or instruction to make any financial transaction.
• You must conduct your own research and due diligence before making any investment or trading decision. You should not rely on any content found on this Platform as the sole basis for any financial decision.
• You should consult with a qualified, licensed financial advisor before making any investment decisions, especially if you are unfamiliar with the risks involved.
• You assume full responsibility for any and all financial outcomes, including losses, that result from decisions you make after viewing content on the Platform.
• The Platform, its operators, and its users owe you no duty of care regarding your financial decisions.

4. User-Generated Content

4.1. The Platform hosts content created by its users, including group owners, moderators, and members. All user-generated content represents the views and opinions of the individual users who created it, and does not represent the views, opinions, or endorsements of TradeParley.

4.2. TradeParley does not pre-screen, verify, validate, or endorse any user-generated content. We do not guarantee the accuracy, completeness, reliability, or timeliness of any content posted on the Platform.

4.3. You understand that by using the Platform, you may encounter content that you find inaccurate, misleading, or objectionable. You agree that TradeParley shall not be liable for any user-generated content, including any errors, omissions, or any loss or damage incurred as a result of the use of any such content.

4.4. By posting content on the Platform, you grant TradeParley a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely in connection with operating and providing the Platform.

4.5. You retain ownership of all content you create. You may delete your content at any time, subject to the technical limitations of the Platform.

5. Groups and Group Owners

5.1. Groups on the Platform are created and managed by individual users ("Group Owners"). TradeParley does not control, supervise, or endorse the activities, content, or performance of any group or group owner.

5.2. The decision to join any group — whether free or paid — is entirely your own. You are responsible for evaluating whether a group meets your needs and expectations before joining.

5.3. TradeParley does not guarantee:

• The quality, accuracy, or value of content provided within any group
• The success rate or performance of trade ideas shared within any group
• The qualifications or expertise of any group owner or contributor
• That any group will continue to operate or provide content
• That any group's historical performance will continue in the future

5.4. Group owners set their own content, rules, and management practices. TradeParley is not responsible for disputes between group owners and group members.

6. Account Responsibilities

6.1. To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

6.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

6.3. You may not:

• Create more than one account
• Share your account credentials with others
• Use another user's account without permission
• Transfer your account to another person

7. Prohibited Conduct

You agree not to:

7.1. Represent yourself as a licensed financial advisor, registered broker, or regulated professional unless you genuinely hold such credentials and can provide verifiable proof.

7.2. Post content that is intentionally misleading, fraudulent, or designed to manipulate other users into making financial decisions for your benefit (including but not limited to pump-and-dump schemes, front-running, or market manipulation).

7.3. Guarantee financial returns or promise profits to other users. No user may claim or imply that following their trade ideas will result in guaranteed profits.

7.4. Use the Platform to conduct or facilitate any illegal activity, including but not limited to insider trading, money laundering, or securities fraud.

7.5. Harass, bully, threaten, or intimidate other users.

7.6. Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

7.7. Attempt to gain unauthorized access to the Platform, other user accounts, or any systems or networks connected to the Platform.

7.8. Use automated scripts, bots, or other means to access or interact with the Platform without our express permission.

7.9. Upload or transmit viruses, malware, or any other harmful code.

7.10. Circumvent, disable, or interfere with any security features of the Platform.

7.11. Solicit other users to bypass the Platform's payment system in order to provide paid services that would otherwise run through TradeParley — for example, recruiting members of a TradeParley group into a paid off-platform community (Discord, Telegram, private chat, etc.) in exchange for direct payment.

8. Intellectual Property

8.1. The Platform, including its design, code, features, logos, and branding, is the property of TradeParley and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our express written consent.

8.2. "TradeParley" and associated logos are trademarks of TradeParley. You may not use these marks without our prior written permission.

9. Limitation of Liability

9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEPARLEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any financial losses, trading losses, or investment losses incurred by you, regardless of whether such losses were foreseeable or whether TradeParley was advised of the possibility of such losses
• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Any loss or damage caused by user-generated content, including trade ideas, educational materials, or any other content posted by users
• Any loss or damage resulting from your reliance on any content found on the Platform
• Any loss or damage resulting from your decision to join, pay for, or participate in any group on the Platform
• Any interruption, suspension, or termination of the Platform or any part thereof

9.2. You expressly acknowledge and agree that TradeParley is not responsible for any financial decisions you make, and you waive any and all claims against TradeParley related to your financial or trading activities.

9.3. In no event shall TradeParley's total liability to you for all claims arising from or related to your use of the Platform exceed the amount you have paid to TradeParley (not to group owners) in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TradeParley, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you post on the Platform
• Your financial or trading decisions made in connection with your use of the Platform
• Any dispute between you and another user of the Platform

11. Risk Acknowledgment

By using the Platform, you explicitly acknowledge that:

11.1. Trading and investing in financial markets involves substantial risk of loss and is not suitable for every person. You should carefully consider whether trading or investing is appropriate for you in light of your financial condition.

11.2. The value of any investment can go down as well as up, and you may receive back less than your original investment or lose your entire investment.

11.3. You should never trade or invest with money you cannot afford to lose.

11.4. Leveraged trading (including but not limited to margin trading, futures, and options) carries an especially high level of risk and may not be suitable for all investors.

11.5. Cryptocurrency markets are highly volatile, largely unregulated, and carry additional risks including but not limited to the risk of total loss of value.

11.6. No risk management strategy can guarantee the prevention of losses.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal data.

13. Termination

13.1. You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

13.2. We reserve the right to suspend or terminate your account, without prior notice, if we believe you have violated these Terms or engaged in conduct that is harmful to the Platform, its users, or third parties.

13.3. Upon termination, your right to use the Platform will immediately cease. Sections 3 (No Financial Advice), 4.4 (Content License), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Risk Acknowledgment) shall survive termination.

14. Modifications to Terms

14.1. We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date and, where appropriate, providing additional notice (such as an in-app notification or email).

14.2. Your continued use of the Platform after any such modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.

15. Dispute Resolution

15.1. Any dispute arising from or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation between the parties.

15.2. If negotiation fails, disputes shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

15.3. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with TradeParley (including the Subscriber Agreement and Creator Agreement), constitute the entire agreement between you and TradeParley regarding your use of the Platform.
